Website Terms

These Website Terms apply to the use of websphere.studio and to applications submitted through the website.
Accepted client projects may also be governed by a separate service agreement or written order confirmation. Where a specific client service agreement conflicts with this general website summary in relation to that project, the client service agreement will govern to the extent of that conflict.
1. About Websphere Studio
Websphere Studio is operated by Zackary Wright, a sole trader trading as Websphere Studio.
References in these Terms to “Websphere Studio”, “Websphere”, “we”, “us” or “our” mean Zackary Wright trading as Websphere Studio.

2. The Free Website offer
Our standard Free Website offer consists of:
- a £0 website build fee;
- Website Care costing £360 per year;
- annual billing;
- 12 months of Website Care for each £360 annual payment.
£360/year is equivalent to £30/month.
The £30/month figure is an equivalent monthly cost only. Monthly payment is not offered under the standard Free Website package.
The paid service is Website Care. The website build itself carries no separate build charge under this offer.
3. Standard website scope
Unless otherwise agreed in writing, the standard Free Website package is intended for a straightforward small-business brochure website of up to four main content pages.
Depending on the requirements of the individual website, the standard scope may include:
- responsive website design;
- business and service information;
- contact information;
- a standard contact form;
- social-media links;
- location or service-area information;
- testimonials supplied by the client;
- FAQs;
- a simple gallery;
- basic technical SEO;
- standard metadata;
- sitemap and robots configuration;
- managed hosting;
- SSL;
- backups;
- routine technical maintenance;
- reasonable minor content updates during an active Website Care period.
Legal or compliance pages such as a Privacy Notice or Website Terms do not normally count towards the four main content-page limit.
The exact site structure will be agreed for each accepted project.
4. Work outside the standard package
The standard Free Website package does not include, unless separately agreed and quoted:
- ecommerce;
- online stores;
- payment systems;
- booking or appointment systems;
- customer accounts;
- customer portals;
- memberships;
- dashboards;
- bespoke databases;
- complex forms or workflows;
- substantial API integrations;
- large directories or catalogues;
- custom web applications;
- customer-editable CMS functionality;
- substantial ongoing content production;
- additional content pages beyond the agreed scope.
We may offer these services separately where appropriate.
5. Applications
Submitting an application does not guarantee:
- acceptance;
- a place in the active build queue;
- a particular queue position;
- a project start date;
- a completion date.
We may decline an application where the project falls outside our scope, capacity or technical suitability.
An application itself does not create a contract.
6. Acceptance and formation of the service agreement
If we accept a project, we will confirm the agreed scope and provide any applicable service agreement, order confirmation or invoice.
Unless otherwise expressly agreed in writing, a binding client project agreement is formed only when:
- the applicable project or service terms have been accepted; and
- the required Website Care payment has been received.
7. Payment
Website Care under the standard offer is invoiced annually at £360 unless a different price is expressly agreed in writing.
For an initial Free Website project:
- we will issue the annual Website Care invoice after the project has been accepted and is ready to move towards active production;
- payment is due within 7 days of the invoice date unless the invoice states otherwise;
- we may wait for cleared payment before beginning active project work.
Payment may be accepted by:
- bank transfer;
- card or online payment through a third-party provider where offered;
- another payment method expressly stated on the invoice.
The website build fee remains £0 under the standard Free Website offer.
8. Website Care period
Each £360 annual payment covers 12 months of Website Care.
For a new website, the initial Website Care period begins when the website is first made live on its production domain, unless otherwise agreed in writing.
Time spent waiting in the application queue or during the initial build does not normally reduce the client’s 12-month live Website Care period.
9. Renewal
Website Care does not automatically renew unless we expressly agree otherwise with the client.
Before the current Website Care period ends, we may offer the client the opportunity to renew.
Any renewal will be charged at the price stated in the relevant renewal notice or invoice.
The renewal price may differ from the price originally paid.
The client is not required to renew.
10. If Website Care is not renewed
If Website Care is not renewed, the paid Website Care period will end on its expiry date.
After expiry:
- Websphere Studio is not required to continue hosting the website;
- ongoing maintenance and support will end;
- ongoing minor content changes will end;
- the live website may be taken offline.
Where reasonably practicable, and where requested before the service ends, we will provide a copy of transferable client website materials that the client is entitled to receive.
This does not require us to transfer:
- Websphere Studio internal systems;
- internal tooling;
- hosting accounts;
- reusable development infrastructure;
- non-transferable third-party services;
- third-party licences that cannot legally be transferred.
Migration work beyond providing reasonably transferable materials may be quoted separately.
11. Client content and intellectual property
The client retains ownership of material they provide to us, including their:
- logo;
- branding;
- photographs;
- copy;
- trademarks;
- other original client materials,
subject to any third-party rights.
The client grants us permission to use those materials as necessary to provide the agreed services.
The client is responsible for ensuring they have permission to use all materials supplied to us.
Once all amounts due for the applicable project have been paid, the client may continue to use the final client-specific website content and implementation created specifically for their website.
12. Websphere Studio materials
Websphere Studio retains ownership of its pre-existing and reusable materials, including:
- generic components;
- reusable templates;
- libraries;
- development systems;
- internal tooling;
- methods;
- development techniques;
- know-how;
- code created independently of a particular client project.
Where these reusable materials form part of a completed client website, the client is granted a continuing licence to use those elements as incorporated into that website for the normal operation and use of the delivered website.
Third-party software and assets remain subject to their respective licences.
13. Client responsibilities
The client is responsible for providing reasonably requested:
- accurate business information;
- branding and logos;
- copy and other website content;
- photographs or other media where required;
- approvals and feedback;
- access to domains, DNS or relevant third-party services where reasonably necessary.
The client is responsible for ensuring that material provided to us:
- is accurate;
- may legally be used;
- does not infringe another person’s intellectual-property rights;
- is not unlawful, defamatory or misleading.
We may decline to publish material that we reasonably believe may be unlawful, infringing or harmful.
Delays in providing requested information, access or approval may delay the project.
14. Revisions
The standard website build includes reasonable revisions required to complete the agreed website within the original project scope.
It does not include:
- unlimited redesigns;
- repeated changes of overall creative direction;
- major changes to agreed scope;
- additional functionality outside the standard package.
Work outside the agreed scope may be quoted separately.
15. Minor content changes
During an active Website Care period, reasonable minor content changes may be included.
Examples may include:
- changing opening hours;
- updating contact details;
- replacing existing images;
- making short text corrections;
- making small service-information changes.
Website Care does not include unlimited development or substantial ongoing content work.
Examples of work that may require a separate quote include:
- significant redesigns;
- new pages;
- new sections requiring substantial design work;
- new application functionality;
- substantial rewriting of site content;
- integrations;
- ecommerce;
- bookings;
- CMS implementation.
16. Domains
Unless otherwise expressly agreed, the client should remain the registered owner or registrant of their domain name.
Where we assist with domain configuration or management:
- the client must provide reasonably necessary access;
- domain registration and renewal fees are separate unless expressly included;
- the client remains responsible for maintaining accurate domain-registration details where required.
Websphere Studio may configure DNS or technical domain settings where authorised to do so.
17. Hosting
During an active Website Care period, the website may be hosted using infrastructure selected and managed by Websphere Studio.
We may change hosting or infrastructure providers where reasonably necessary for:
- security;
- reliability;
- compatibility;
- performance;
- availability;
- commercial or operational reasons.
We do not guarantee uninterrupted website availability.
Temporary interruption may occur as a result of:
- maintenance;
- provider outages;
- network failures;
- security incidents;
- cyber attacks;
- internet disruption;
- events outside our reasonable control.
18. Third-party services
Websites may depend on third-party services such as:
- hosting providers;
- domain registrars;
- DNS providers;
- form and email-delivery services;
- analytics services;
- mapping services;
- payment processors;
- APIs;
- other external platforms.
We are not responsible for outages, changes, restrictions or discontinued functionality caused solely by third-party services outside our reasonable control.
Where a third-party service materially changes or discontinues functionality, additional work required to replace or substantially re-engineer that functionality may be quoted separately.
19. Search engines and SEO
Where included in scope, we provide reasonable technical SEO foundations.
We do not guarantee:
- search-engine rankings;
- indexing;
- traffic;
- enquiries;
- sales;
- revenue;
- any particular position in search results.
Search engines are controlled by third parties and their decisions are outside our control.
20. Support
Website Care includes reasonable routine support relating to the website and services we manage.
Unless separately agreed, Website Care is not:
- a 24-hour emergency support service;
- an unlimited development retainer;
- a guaranteed-response-time support agreement.
We do not guarantee a particular support response time unless expressly stated in a separate service agreement.
21. Suspension
We may suspend work or services where reasonably necessary because of:
- security concerns;
- unlawful content or activity;
- misuse of infrastructure;
- a material breach of the applicable agreement;
- overdue payment;
- a serious technical emergency.
Where practical and appropriate, we will provide notice and a reasonable opportunity to resolve the issue.
22. Late payment
If an invoice is not paid when due, we may:
- pause project work;
- withhold launch;
- suspend affected services;
- decline to begin a renewal period;
- exercise any rights available to us under applicable law.
Where applicable to qualifying business-to-business debts, statutory late-payment interest and recovery costs may apply.
23. Cancellation before launch
If a client wishes to cancel after making payment but before launch, any refund or cancellation position will depend on:
- the stage of the project;
- work already completed;
- resources already committed;
- third-party costs already incurred;
- the applicable service agreement;
- any rights that apply by law.
Once substantial project work has begun, the annual Website Care payment is not automatically refundable simply because the client decides not to continue.
Nothing in these Terms removes any statutory rights that cannot legally be excluded.
24. Business customers and consumers
The Free Website offer is primarily intended for businesses and people acting for business purposes.
If we enter into an agreement with an individual acting wholly or mainly outside their trade, business, craft or profession, applicable consumer-law rights may apply.
Nothing in these Terms excludes or restricts any consumer right that cannot legally be excluded or restricted.
25. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
This includes liability that cannot lawfully be excluded for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where applicable.
Subject to this, for business customers:
- we are not liable for indirect or consequential business losses;
- we are not responsible for losses caused solely by events outside our reasonable control;
- we do not guarantee any particular commercial result from a website;
- the client remains responsible for the accuracy, legality and suitability of the business information and content they provide.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with an applicable Website Care period will not exceed the total fees paid to us for that Website Care period, unless a separate written agreement expressly provides otherwise.
26. Force majeure
We are not responsible for delay or failure to perform our obligations where this is caused by events outside our reasonable control.
Such events may include:
- major infrastructure failures;
- widespread internet or telecommunications failures;
- natural disasters;
- war;
- civil disturbance;
- government action;
- major cyber incidents;
- failures of critical third-party infrastructure.
27. Termination for breach
We may terminate or refuse to continue services where a client materially breaches the applicable agreement and does not remedy that breach within a reasonable period after being asked to do so.
Serious unlawful activity, abuse, fraud or security threats may justify immediate suspension or termination where reasonably necessary.
28. Changes to services
We may make reasonable technical or operational changes necessary to maintain:
- security;
- compatibility;
- reliability;
- availability;
- performance.
We will not intentionally materially reduce the agreed service during an active paid Website Care period without reasonable justification.
29. Changes to these Website Terms
We may update these Website Terms from time to time.
Changes to these general Website Terms do not retrospectively rewrite an existing client service agreement unless that agreement expressly provides otherwise.
The latest version will be published on websphere.studio with an updated “Last updated” date where appropriate.
30. Governing law
These Website Terms and any non-contractual dispute arising from them are governed by the laws of England and Wales.
For business customers, the courts of England and Wales will have exclusive jurisdiction unless otherwise expressly agreed.
Where mandatory consumer-law jurisdiction rules apply, those rights remain unaffected.
